Seller Agreement
Version 2026-06-14 · effective upon opening a shop
This agreement is made between you (“the Seller”) and ULTRA AGENT LIMITED (บริษัท อัลตร้าเอเจนท์ จำกัด) the operator of the ShopWoW platform (“the Platform”). Opening a shop and listing items constitutes your acceptance of this agreement.
1. Role of the Platform
ShopWoW is a marketplace that connects buyers with sellers — it is not the manufacturer, importer, or seller of the goods itself. The sale contract is formed directly between the buyer and the seller.
2. Seller Representations
You represent that:
- Every product is lawful under Thai law and you have the lawful right to sell it
- You do not infringe the trademarks, copyrights, or intellectual property of others (no counterfeit/knockoff goods)
- Product information, prices, images, and advertising claims are true and not deceptive
- You verify your identity as required by the Platform and provide accurate information
3. Prohibited Items
It is strictly forbidden to list items covered by the Prohibited Items Policy . Violations result in the item being removed, the shop being suspended or permanently closed, and possible legal action.
4. Liability and Indemnification
The seller is solely responsible for their own products, shipping, advertising claims, and taxes. You agree to indemnify and defend ULTRA AGENT LIMITED against any damages, claims, or legal proceedings arising from your products or actions.
5. Fees and Payouts
ShopWoW charges fees at the published rates (the lowest — sellers keep almost all of their revenue). Payouts follow the designated channels and payout cycles.
6. Disputes and Refunds
Sellers must respond to disputes within the deadline (≤72 hrs) under the Refund and Return Policy. If a seller stays silent beyond the deadline, the system will decide the case with weight given to the buyer, in accordance with the published policy.
7. Suspension and Shop Closure
ShopWoW reserves the right to remove items, suspend, or close any shop that violates this agreement, the law, or poses a risk to other users.
8. Personal Data
Data handling follows the Privacy Policy (PDPA).
9. Governing Law
This agreement is governed by Thai law.
