1. The Store is the seller, you are the consignment supplier
ShopWoW is an online department store and the seller of record. The Store takes your goods and sells them in its own name under this consignment agreement.
You are the consignment supplier. You store, pack and ship the goods yourself.
The sales contract is between the buyer and ShopWoW. ShopWoW receives payment for the goods in its own name.
The money shown on your shop's money page is what the Store owes you for the goods. It is not buyers' money that the Store holds for you.
2. What you promise the Store
Changed
You confirm that:
- every item is lawful under Thai law and you have the right to sell it
- nothing infringes anyone's trademark, copyright or other intellectual property (no counterfeits or knock-offs)
- product details, prices, pictures and advertising are true and not misleading
- you verify your identity as the Store requires and give correct information
2.5 Regulated goods — such as food, drugs, cosmetics, medical devices (including contact lenses) and goods that must carry the TISI (มอก.) mark (such as power banks, power strips, chargers and electrical appliances).
These goods need a registration number, notification receipt or licence that is still valid. It must match the goods actually shipped. The goods must carry a complete Thai label.
For imported goods, you or your importer must import them lawfully.
2.6 Numbers you enter must be real — the FDA or TISI number you enter must belong to that exact item. The Store may ask for copies of the documents. You must send them within 3 business days. If you don't, the Store may pause that item until it receives them.
3. Prohibited goods
Never list goods covered by the Prohibited Items Policy.
Breaking this rule gets the item removed, the shop suspended or closed for good, and may lead to legal action.
3/1 Reported: paused first, then you can dispute
New
The Store may be told by users, rights holders or authorities that your goods or content may be illegal or infringe someone's rights.
When that happens, the Store may pause the item at once while it checks. The Store will tell you in the app, unless an authority orders it to keep the matter confidential.
You can dispute with evidence within 7 days using the appeal button in the app. The Store decides on the evidence.
If an authority or a court orders it, the Store follows the order without waiting for the dispute result.
Pausing or removing an item in good faith under this clause is not a breach of contract by the Store. The Store is not liable for lost sales.
Goods that the law forbids selling online (such as alcoholic drinks and tobacco) are always paused for the team to check first.
3/2 Repeat offences: the shop can be closed
New
The Store may close the shop for good if the shop has items removed for being illegal or infringing intellectual property:
- 3 times within 12 months, or
- once for serious goods, such as weapons, drugs, child sexual abuse material, e-cigarettes or prescription-only medicines
Once a shop is closed, the Store may refuse new shops from the same seller or anyone connected to them.
4. Who is responsible for what
Changed
Towards buyers, ShopWoW is responsible as the seller under the law.
Between you and the Store, you are responsible for your goods' quality, safety, legal compliance, packing, on-time shipping, advertising and your own taxes.
4.1 Compensation — you agree to compensate the Store for the loss it actually suffers that comes from:
- (a) your goods or your product information
- (b) breaking a promise in this agreement, or
- (c) infringing someone else's rights
This includes fines, damages, money the Store refunds or pays buyers on your behalf, and reasonable lawyers' fees.
4.2 Your duties under this clause 4 continue even after the agreement ends.
4/1 Product recalls
New
If your goods are found unsafe, or an authority orders a recall, you must take part in the recall, take the goods back and refund buyers as the Store sets out.
You pay the costs of doing so.
4/2 Test purchases
New
The Store may test-buy your goods to check that they are genuine and lawful.
If they fail, you bear the cost of the item and the shipping for that test purchase.
5. Fees and getting paid
The Store deducts its consignment fee from the sale price at the rate published on the shop-opening page. The rest is what the Store owes you for the goods.
Payment-processing fees are deducted at the amount the payment provider actually charges for each transaction. There is no flat rate.
The Store pays for the goods through the channels and payout cycles it has announced, after the order has closed.
If the company registers for VAT later — the Store may adjust the consignment fee to match the resulting tax burden. The Store will give at least 30 days' notice. You may end the agreement before the new rate takes effect.
Payment timing and partial holds — the Store may set when payment for goods is due. It may hold back part of a payment until the buyer's return window has passed, or until a related dispute is settled.
For a shop that has just made its first sale: the Store holds back no more than 10% of the first month's sales. This shrinks by itself with time and successfully delivered orders, until it is fully released within 90 days. It is never more than 5,000 baht.
The held amount is still yours and is always shown on your shop's money page. This hold sets the time for paying the debt for the goods. It is not a deposit of money.
The Store may set off (deduct from what it owes you) any amount you must pay as compensation under clause 4.
Cash-on-delivery service fee — when a buyer pays cash on delivery, the carrier charges a fee as a percentage of the amount collected.
You choose in your shop settings whether you bear this fee (the default) or the buyer pays it. If the buyer pays, the Store always shows it as a separate line before the buyer confirms the order.
A change to this setting applies to new orders only and does not affect orders already placed. In no case will the Store charge the buyer more than the amount shown when the order was confirmed.
6. Disputes and refunds
You must answer a dispute in time (within 72 hours) under the Refund & Return Policy.
If you stay silent past the deadline, the system decides with weight given to the buyer, as the policy states.
7. Suspension and closure
The Store reserves the right to remove items, suspend or close a shop that breaks this agreement or the law, or puts other users at risk.
When the agreement ends, the money the Store owes you for closed orders is still paid to you as normal.
8. Personal data and information for authorities
Changed
Data is handled under the Privacy Policy (PDPA).
8.1 Information for authorities — the Store discloses identity data, shop data, sales history, computer traffic data and related evidence to government authorities or courts that request it under legal powers, only as far as requested.
The Store discloses to rights holders only as far as a court orders or the law requires. The Store records every request in a register.
8.2 Keeping evidence — the Store keeps takedown evidence (data and pictures of items that were removed or reported) and computer traffic data for the periods the law requires, even if you delete the item, close the shop or delete your account.
9. Governing law
This agreement is governed by Thai law.
