Seller Agreement
Version 2026-09-25
This is the previous version (Sep 25, 2026). It applies to existing shops until the new version takes effectGo to the latest version
This agreement is made between you (“the Seller”) and ULTRA AGENT LIMITED (บริษัท อัลตร้าเอเจนท์ จำกัด) the operator of the ShopWoW online department store (“the Store”). This agreement takes effect as a consignment agreement — opening a shop and listing items constitutes your acceptance of it.
1. Role of the Store
ShopWoW is an online department store and the seller of record that takes your goods and sells them in its own name under this consignment agreement — you are the consignment supplier, and you store, pack, and ship the goods yourself. The sale contract is formed between the buyer and ShopWoW, and ShopWoW receives payment for the goods in its own name. The balance shown on your shop's money page is what the Store owes you for goods sold — it is not the buyer's money held on your behalf.
2. Seller Representations
You represent that:
- Every product is lawful under Thai law and you have the lawful right to sell it
- You do not infringe the trademarks, copyrights, or intellectual property of others (no counterfeit/knockoff goods)
- Product information, prices, images, and advertising claims are true and not deceptive
- You verify your identity as required by the Store and provide accurate information
3. Prohibited Items
It is strictly forbidden to list items covered by the Prohibited Items Policy . Violations result in the item being removed, the shop being suspended or permanently closed, and possible legal action.
4. Liability and Indemnification
Towards the buyer, ShopWoW is responsible as the seller. As between you and the Store, you are responsible for product quality, packing, shipping on time, advertising claims, and your own taxes. You agree to indemnify and defend ULTRA AGENT LIMITED against any damages, claims, fines, or legal proceedings arising from your products or actions, including any amount the Store must refund or compensate to a buyer on your behalf.
5. Consignment Commission and Payments
The Store deducts a consignment commission from the sale price at the rate published on the seller sign-up page; the remainder is what the Store owes you for the goods. Payment-processing fees are deducted at the exact amount charged by the payment provider for each transaction — never at a flat assumed rate. Payment follows the designated channels and cycles, after the order is completed.
If the company later registers for VAT, the Store may adjust the consignment commission rate to reflect the resulting tax burden, on at least 30 days' written notice; the supplier may terminate this agreement before the new rate takes effect.
The Store may set the time for payment and may withhold part of an amount payable until the buyer's return window has passed, until any related dispute is resolved, For a store that has just made its first sale, the Store withholds at most 10% of the amount in the first month, decreasing automatically with time and with the number of delivered orders until it is fully released within 90 days, and never more than 5,000 baht. The withheld amount remains yours and is shown in your store's money page at all times. Such withholding sets the time for payment of the purchase price and is not the taking of a deposit; the Store may set off amounts payable (deduct them from what the Store owes you) against sums the supplier owes under clause 4.
Where the buyer pays cash on delivery, the carrier charges a collection fee as a percentage of the amount collected. The supplier chooses in the store settings whether to bear this fee (the default) or to have the buyer pay it. If the buyer pays it, the Store always shows it as a separate line before the buyer confirms the order. A change to this setting applies only to new orders and never to orders already placed, and the Store will never charge the buyer more than the amount shown at confirmation.
6. Disputes and Refunds
Sellers must respond to disputes within the deadline (≤72 hrs) under the Refund and Return Policy. If a seller stays silent beyond the deadline, the system will decide the case with weight given to the buyer, in accordance with the published policy.
7. Suspension and Shop Closure
The Store reserves the right to remove items, suspend, or close any shop that violates this agreement, the law, or poses a risk to other users. When this agreement ends, amounts already owed to you for completed orders are still paid as normal.
8. Personal Data
Data handling follows the Privacy Policy (PDPA).
9. Governing Law
This agreement is governed by Thai law.
